Leegality vs SpotDraft: how they compare in 2026
Leegality is the closer fit when the central requirement is Indian document execution with AI clause checks and obligation tracking attached. SpotDraft is stronger when a corporate legal team wants a broader CLM environment with configurable playbooks, shared review guides, legal intake and Sidebar assistance. Both support Word review and Indian stamping arrangements, so neither capability alone settles the choice. The assessment by AI Legal Index identifies SpotDraft's source references for individual playbook guidelines as a concrete aid to reviewing a proposed change. Leegality gives a comparably visible rule and clause view while keeping domestic signing methods close to the workflow. Their data use assurances also differ in form: SpotDraft's consolidated agreement contains a training prohibition, whereas Leegality makes its contract training promise in product policy. The applicable agreement and purchased AI modules deserve as much attention as the review interface.

All 15 axes, side by side
The same grid applied to every vendor in the index, graded from public sources. Hover a grade to see what the letter means on that axis.
AI Centrality
How much of the product is actually AI. Whether the machine learning is the mechanism the buyer is paying for or a feature layered onto conventional software, and whether the vendor is specific about which is which.
Leegality's original business is document execution, including Aadhaar signatures, stamp paper procurement, approval routing and delivery of completed agreements. Those services retain their purpose without generative models. AI Review adds clause analysis against rules defined by the legal or compliance team, explanations of deviations and suggested replacement language. Obligations AI extracts commitments and assigns their owners, while Smart Extraction fills repository metadata from uploaded agreements. These are identifiable applications of AI to legal work rather than a relabeling of signature automation. They remain features within a broader paperwork platform whose commercial offering also includes document fraud prevention and electronic bank guarantees.
SpotDraft is a full contract lifecycle system, with templates, conditional workflows and approvals, a shared editor, built in eSignature meeting ESIGN, eIDAS and ECA, a repository, reporting and analytics. Without SpotDraft AI, VerifAI, Intake and Sidebar, a working CLM with signature and workflow remains, and that CLM has its own market. The AI covers review inside Word, automatic extraction of more than a thousand metadata types, and agents that track regulatory change. SpotDraft now calls itself context aware, AI native CLM, though the platform predates that framing.
Citation Accuracy and Hallucination Disclosure
Whether the vendor publishes measured accuracy on citations and assertions, grounds output to primary sources, and says plainly what its system does when it does not know. Legal has a documented public record of fabricated citations reaching filed briefs, so an untested claim of accuracy is not evidence.
The AI review interface ties a finding to a customer rule and the relevant contract clause. Its example distinguishes requirements that are met, not met or not found, and displays the current clause beside a suggested replacement. That gives a reviewer useful context for deciding whether a contractual requirement has been satisfied. It does not establish legal correctness beyond the supplied rules. No measured error rate, benchmark dataset or independent validation method accompanies the clause review feature. Nor is there a described legal authority retrieval system that supplies primary cases or statutes and verifies their current status before a proposed revision is used.
VerifAI connects each playbook guideline to source references in the contract and explains why a requirement is met or unmet. It then proposes wording, comments and tracked edits against the customer's preferred positions. That provides a contract level basis for inspecting a recommendation. SpotDraft's broader AI offering also promises explained recommendations with citations, while Sidebar monitors official regulatory sources. These claims do not include a reproducible accuracy benchmark or a described citator for case law. The AI agreement explicitly anticipates inaccurate or incomplete internet material and requires independent validation, so source references are a review aid rather than a guarantee of legal correctness.
Autonomy and Oversight Model
What the system decides on its own, what a lawyer must approve, and whether the vendor documents where the review point sits. A tool that drafts under review and a tool that files without one are different products and different risks.
Legal and compliance teams define the rules that constrain AI Review, then inspect deviations and the reasons attached to them. The contract interface gives users separate actions to replace a clause or dismiss its proposed replacement. Leegality Reviewer adds a configurable approval gate: the sender assigns internal or external reviewers, who can approve or reject the agreement before it proceeds to the signer. Obligations AI separately uses configured obligation types, owners and email reminders. These controls distinguish automated extraction from human contract approval. Their protection depends on configuring the reviewer step; AI analysis alone does not turn a proposed contract into an approved agreement.
Users constrain VerifAI through their own playbooks or supplied guides, inspect the explanation for each deviation and receive edits as tracked changes in Word. Public guides let business colleagues conduct an initial review before legal involvement. The consolidated AI agreement requires human oversight and makes the customer responsible for independently verifying outputs before business or legal decisions; it also excludes specified high risk uses. Conditional CLM approvals and permission roles provide an additional organizational control. VerifAI's nutrition label nevertheless marks human involvement as absent. The binding verification requirement and editable review surface are concrete controls, while the label is an unresolved inconsistency in product messaging.
Operational and Outcome Evidence
Named, dated evidence that the product works in production at real firms or legal departments. Case studies with figures and identified customers count. Unattributed testimonials and launch announcements do not.
Rupifi's in house counsel Satyanshu Mishra describes using Leegality's contract management product and its configuration options, with the vendor's support helping the team adopt the platform. That is a named legal user discussing the product rather than an unexplained customer logo. The broader execution business also reports IIFL Samasta increasing daily loans per branch from roughly 30 to 35 to roughly 40 to 45 after digitizing paperwork. Those operational figures concern the signing process, not the accuracy or speed of AI clause review. The contract testimonial has no dated baseline, review sample or measurement isolating the contribution of the models.
SpotDraft quotes eight in house lawyers by name, role and employer. Anna Claveria Brannan is Deputy General Counsel at IPSY. Susan Koenig is a former Senior Legal Operations Manager at Abnormal Security, and Micah Nessan a former General Counsel at Guideline. Reason Abajuo is VP of Legal and Corporate Affairs at Chaberton Energy, and Lizzy Gagan is Senior Legal Counsel at Beamery. Arzu Hasanova is Legal Counsel at Circularise, Aditi Kapoor is Director of Legal at Gameskraft, and Natasha Wilson is Head of Legal at SUN Mobility. Every quote is qualitative. The quantified claims name no customer. They are two times faster closings, 65 percent lower cost, 70 percent less review time and contracts reviewed 15 times faster.
Privilege and Confidentiality Posture
How client confidences are handled: attorney client privilege and work product treatment, segregation of one client matter from another, whether client data trains any model, and what the vendor commits to in writing rather than in marketing.
Contract data is covered by an express product commitment against use in training any AI model. Leegality also states that AI review and obligation extraction read the agreement without retaining another copy, while the repository continues to hold the underlying contract. Its privacy notice describes encryption, approved access on a need to know basis and processing of signer data on customer instructions. These protections give corporate legal teams a concrete confidentiality position. They do not explain privilege preservation, separate law firm matters or the identity and contractual duties of the models underneath. Role restrictions on document execution are narrower than a documented ethical wall for AI answers.
SpotDraft's consolidated agreement treats uploaded customer material as confidential and expressly forbids using customer data as a training dataset for machine learning or model training. Its DPA restricts personal data processing to customer instructions, protects generated personal data and provides isolation between Sidebar customer environments. Contract encryption keys and roles further limit access. The AI terms also state that using the service creates no attorney client relationship or related privilege beyond contractual confidentiality. Generated material may be retained to debug reported issues, and provider specific retention is not fully explained. These commitments improve confidentiality assurance without establishing complete treatment of every privileged prompt and output.
UPL and Professional Responsibility Posture
Whether the vendor is clear that it supplies a tool rather than legal advice, who its audience is, and how it addresses unauthorized practice of law, competence and supervision duties, and jurisdiction limits. ABA Formal Opinion 512 is the reference point. Where the advice line is not the duty a product raises, the axis is read through the nearest professional duty it does raise: judicial conduct rules and the reviewing duty for products sold only to courts, and the duty to bill for time actually spent for products that draft time entries.
Leegality identifies itself as a software business rather than a law firm and addresses business, product, operations and legal teams. Its terms place responsibility for appropriate stamp duty, document enforceability and retention requirements on the customer. The service is framed around Indian law, and customers outside India are responsible for assessing local suitability. This gives a clear boundary around the provider's role in document execution. The AI feature nevertheless describes clause replacements as compliant with the customer's rules without a corresponding account of professional competence duties. No bar specific supervision framework explains how a lawyer should validate those suggestions before advising a client.
The consolidated AI terms identify SpotDraft as a software provider, disclaim a lawyer relationship and make customers responsible for independent verification before legal or business decisions. Users must be told that AI is involved and cannot present generated output as human authored. Sidebar additionally prohibits processing sensitive financial or personal data and information about children under thirteen. These are concrete use boundaries alongside the company's references to California bar guidance and ABA Formal Opinion 512. They do not map each product control to a professional duty or establish a jurisdiction by jurisdiction competence framework for legal work performed through the platform.
AI Governance and Bias Disclosure
Published governance over model behavior: who owns it inside the vendor, what is tested before release, and what is disclosed about disparate output across matter types, parties, or populations.
Customer rule sets define what AI Review looks for in an agreement, but those rules are an application control rather than an account of how Leegality governs its models. There is no named AI governance owner, release testing program, bias assessment or report of differences in performance across languages and contract types. The platform's Indian language signing options and identity verification features do not answer those questions for clause interpretation. Information security certifications address a different set of controls. A legal team therefore receives a configurable review workflow without a published mechanism for assessing systematic model errors or the vendor's response when those errors recur.
SpotDraft's security page describes a formal risk governance policy approved by management that defines an Enterprise Risk Management program. Periodic operational risk assessments feed management reports, with each risk rated, assigned an owner and tracked to treatment or acceptance. Privacy risk is assessed through vendor due diligence, and an information security team led by the Chief Technology Officer oversees the process. The policy does not cover model behavior. SpotDraft's published pages describe no testing before an AI release and no responsible AI framework. They do not address bias or uneven output across contract types, counterparties or populations.
AI Safety and Data Stewardship
Retention, deletion, access control, and what happens to prompts and documents after they are processed. Whether the vendor states its subprocessors and its incident practice, or leaves the buyer to assume.
The privacy notice separates account data from document and signer information processed on customer instructions. It describes encryption during transfer and storage, access approval, monitoring and audits. Uploaded agreements remain for a period determined by customer settings or legal requirements, and the pricing feature list includes automatic purging of signed files. Several service providers and their purposes are named, including the hosting company, signature authorities and electronic stamping services. The AI product adds a commitment not to retain another document copy during processing. Missing pieces include named model subprocessors, a complete prompt and output retention schedule and a customer incident notification timetable.
The DPA requires notification within 48 hours of awareness of a personal data breach, advance notice of subprocessor changes and an objection process. It provides return of customer personal data within thirty days and deletion within ninety days of return or as directed, with legal retention exceptions and a deletion certificate. Access reviews, encryption and annual testing are specified. The subprocessor register now identifies the AI providers as well as hosting and support services. These contractual controls cover substantial ground, but the AI terms permit retention of generated material for debugging without a complete separate schedule for nonpersonal prompts, outputs and provider logs.
AI Liability and Recourse
What the vendor stands behind contractually when its output is wrong. Indemnities, caps, carve outs, insurance, and whether any of it is published or only reachable through a negotiated agreement.
Leegality's standard terms disclaim responsibility for the contents and enforceability of agreements and do not warrant that service results will be accurate or reliable. The liability formula is the greater of INR 100 or fees associated with executing a document, excluding specified expenses and charges, subject to an aggregate ceiling of INR 10,000 per user. Consequential and other indirect losses are excluded. The indemnity runs from the user to Leegality, with no corresponding published protection for an erroneous AI revision. A separately signed agreement takes precedence, so enterprise buyers may have different provisions; the public terms themselves offer little recourse for faulty legal output.
The consolidated agreement for the United States entity has a general cap of twelve months of fees paid or payable, a fivefold cap for specified confidentiality, legal compliance and indemnity claims, and exceptions including fraud and gross negligence. It also grants ordinary service intellectual property protection. However, the AI annex expressly excludes AI Services from that intellectual property indemnity and disclaims consequences of relying on generated output. Sidebar is excluded from the uptime undertaking and credits. The separate signup terms still state an INR 100 cap. The applicable order and agreement matter; none of these provisions establishes a warranty that an AI legal conclusion is correct.
Practice Systems Integration Depth
How deeply the product reaches into the systems legal work already lives in: document management such as iManage and NetDocuments, Word and Outlook, contract lifecycle management, matter management, e-billing, and court filing systems.
The Word extension has an explicit setup path through the Microsoft marketplace followed by a Leegality login. Users see assigned tasks in the sidebar, run rule based AI review and share agreements with counterparties from the editor. Guests can review online or download, edit and upload their version without creating an account. Outside Word, APIs connect document journeys to a customer's CRM, loan systems or HR software; webhooks return signed documents to customer servers. These are described transfers and actions, not just integration logos. Permission mapping, version conflict handling and a complete implementation account for each connected business system remain unspecified.
SpotDraft states more than 30 integrations and gives each its own page. Salesforce, HubSpot, Slack, Microsoft Word for desktop, Google Drive, DocuSign, Greenhouse, Google Forms, Jira and Zapier are all linked directly from the pricing page. VerifAI runs review inside Microsoft Word, and negotiation and redlining are described as working in Word, Slack or SpotDraft itself. One named customer credits the Word desktop editor with driving adoption. Single sign on covers Office 365, Google Workspace, Okta, Active Directory and custom SAML with zero touch provisioning. The connections center on corporate business systems; a native iManage or NetDocuments integration is not described.
Deployment Model and Data Residency
Where the software runs and where the data sits. Multi tenant cloud, single tenant, private deployment, on premises, and whether region of residence is a published option or an enterprise conversation.
Leegality operates a hosted platform accessed through its dashboard, Word extension or APIs. Both storage and processing of contract data are expressly restricted to servers in India, including AI review and obligation extraction. The privacy notice identifies Amazon Internet Services Private Limited as the hosting provider and likewise places personal data processing in India. There is no advertised alternative region for a customer to select, nor a published private installation offering. The geographic commitment therefore covers the available service rather than a menu of deployment tiers. It does not identify the individual model service or give a detailed account of backup locations within the country.
The DPA assigns primary personal data storage to the Netherlands for EU customers, the United States for customers there and India for Indian customers. It permits controlled support and implementation access from India for other customers. The public security description still offers an additional Middle East region and says regional personal data does not leave its location, creating a distinction that requires contractual clarification. VerifAI identifies Azure hosting alongside OpenAI and Anthropic models, while the subprocessor register adds other services. Their registered addresses are not processing regions. Consequently, the available information does not establish that every model call stays in the customer's primary storage country.
Security Certifications and Trust Center
Independent attestation a buyer can pull without a sales call: SOC 2, ISO 27001, penetration test summaries, a trust center with current reports and named scope rather than a badge image.
The privacy notice names ISO 27001:2022, ISO 27017:2015 and ISO 27018:2019, alongside a SOC 2 Type II attestation covering security, availability and confidentiality. It describes recurring independent audits and separately refers to CERT IN empaneled auditors for Aadhaar and signature requirements. Leegality also provides a trust center entry point and offers its SOC report and auditor details on request. The public statements do not supply the attestation period, named auditor or an inspectable report establishing the full product scope. The standards are more specific than generic security badges, but their existence does not by itself validate the quality of AI contract interpretation.
Four compliance marks, for ISO, GDPR, HIPAA and AICPA SOC 2, appear on SpotDraft's home, pricing and security pages. Its home page lists them as ISO 27001, SOC 2 Type II, GDPR and HIPAA, and the footer on every page reads "An ISO/IEC 27001:2022 Certified Company". SpotDraft's help center lists its SOC 2 Type 2 and ISO 27001 reports with download links, and a March 2023 blog post announced the SOC 2 Type 2 result. SpotDraft also links a separate trust center at trustcenter.spotdraft.com. Outside the reports themselves, no auditor, coverage period, report date or scope is published for the SOC 2. Independent penetration testers are said to be used, but none is named and no summary is published.
Model Supply Chain Disclosure
Which models sit underneath, whose they are, where they run, and whether the vendor commits to telling customers when that changes. A legal buyer inherits every dependency it cannot see.
Neither the AI Review explainer nor the contract product description identifies the model family or inference provider used for clause analysis and obligation extraction. The privacy notice names the infrastructure host and several execution providers, but it does not distinguish an AI model service from general hosting. A commitment to processing in India and avoiding training on contracts addresses location and use of data, not the identity of the model supplier. There is also no published model change notification procedure. Customers can understand the review workflow while still lacking the information needed to assess a particular foundation model or its replacement.
VerifAI identifies OpenAI GPT 4 and Anthropic Claude and describes selecting models by task, with an Azure instance also mentioned. The broader subprocessor register names Azure, OpenAI and Anthropic for metadata extraction, contract questions and guideline review, and Pinecone for vector retrieval. It states that those AI providers receive no data when AI features are unused. The DPA adds thirty days of notice before a subprocessor addition or replacement, with a customer objection route. Individual model versions, all inference regions and notice of changes within an existing provider are still unspecified. The single model nutrition label does not fully describe this wider supply chain.
Commercial Transparency
Whether a buyer can learn what this costs without entering a sales process: published rates, the unit being charged, what sits behind an enterprise tier, and what implementation adds.
Basic execution has explicit transaction prices: INR 25 for each Aadhaar signatory and INR 15 for each non Aadhaar signatory. Digital stamping costs INR 45 per paper plus stamp duty and INR 500 per order, with a minimum of 30 papers; signing requires at least INR 100 of credits. The Basic account includes one user and one workflow. Advanced business features require a quote, and the advertised INR 300,000 annual budget dividing line is not an AI subscription price. A first flow can be configured and tested free, but implementation charges beyond that and the cost or allowance for AI Review are not published.
SpotDraft prices the CLM by users or contract volume and includes standard implementation, migration, integration setup and support in its published package. It does not publish a subscription rate or a separate allowance for each AI feature. The consolidated agreement permits additional charges for custom work outside the order's scope, requires advance payment and treats fees as a minimum commitment. Its AI modules can be purchased separately under the order. Indian stamp procurement has a distinct fee schedule and deposit under the India agreement, so stamping is not automatically part of an unlimited CLM price. VerifAI advertises a two week trial.
Firm and Practice Coverage
Who the product is actually built for. AmLaw, midlaw, small firm and solo, in house departments, government and courts, and which practice areas are supported rather than merely claimed.
Leegality focuses on Indian business paperwork, with named uses in banking, lending, microfinance, stockbroking, insurance, human resources and procurement. Contract examples include vendor agreements, master services agreements, nondisclosure agreements, employment letters and loan documentation. Legal teams can define their own compliance rules while business colleagues initiate work, approve it or sign. The terms and privacy notice explicitly center Indian law and leave overseas suitability to the customer. This is a clearer audience than a claim to serve every practice. It is not a published coverage map for litigation, specialist legal research or the full range of legal issues a generated clause might raise.
The core audience is corporate legal departments working with sales, finance, HR and procurement colleagues. Industry examples span software, HR technology, education technology, health technology and financial technology. The consolidated agreement limits use to the customer's own business and prohibits operating the service for third party benefit, which is relevant to a firm considering client delivery. VerifAI supports contract review through configurable playbooks, while Sidebar adds broader legal and operational assistance. Sidebar's prohibition on sensitive personal and financial information limits the material that can be submitted. No complete list of supported legal jurisdictions or excluded contract issues accompanies the product offering.
The 12 legal signals, side by side
Recorded rather than graded. These are the questions a practitioner has to answer before a tool touches a client matter, and the answers are taken from public material only.
Client Data in Training
Can material a lawyer puts into this product be used to train a model?
Leegality promises that contract data used for AI review or obligation extraction is never used to train any AI model. That promise appears in its contract product explanation, rather than an express model training restriction in the standard terms. The incorporated privacy notice limits signer processing to customer instructions and permits analytics on usage information. It does not clearly grant a separate right to train on agreement content. The policy commitment consequently remains distinct from a negotiated contractual prohibition.
The consolidated AI annex expressly prohibits using customer data as a training dataset for machine learning, reinforcement learning or model training. It permits usage analytics and storage of generated information for debugging a reported issue, but those permissions do not override the training exclusion. The DPA separately bars training on customer personal data. These protections apply through the relevant signed agreement and order, including the consolidated Sidebar terms; the product nutrition label alone is not the basis for the contractual commitment.
Prompt and Output Retention
How long does the product keep what a lawyer typed, and can that be set to zero?
Customers can control how long uploaded agreements are stored, subject to legal requirements, and automatic purging of signed files is an available feature. The AI workflow separately promises not to retain a copy of the contract it reads. Those statements do not establish zero retention for the whole account or every generated clause and processing log. The default schedule, backup removal period and exact treatment of prompts and outputs are not specified for the AI service.
VerifAI offers deletion on demand, and the DPA provides customer directed processing duration and deletion. On termination or request, personal data is returned within thirty days, with copies deleted within ninety days of return or as directed, subject to stated exceptions. The consolidated agreement separately permits retrieval of contracts and Sidebar chats, knowledge files and tables after termination. Generated information may also be stored to debug reported issues. No universal zero retention setting or provider log schedule is established.
Ethical Walls and Matter Segregation
Does retrieval respect the firm’s ethical walls, or can the model read across them?
Execution roles restrict which team members can authorize documents, and the privacy notice describes access approvals based on need to know. Reviewers and approvers can also be assigned to a particular contract. These controls support differentiated access in a corporate workflow. They do not explain whether repository permissions are reapplied to every AI request, how separate clients are isolated, or how a lawyer excluded from one matter is prevented from receiving its content in an answer.
The platform separates customer data within shared infrastructure, uses a distinct encryption key per contract and scopes permissions by department, entity and contract type. The DPA additionally promises isolation between Sidebar customer environments and limits support access through roles, least privilege and logging. This describes a tenant and organizational separation model for an in house buyer. It does not demonstrate that every model retrieval rechecks the same permissions or provide a law firm ethical wall spanning multiple client matters.
Third Party Request and Subpoena Notice
If someone subpoenas the vendor for a firm’s data, does the firm hear about it first?
The privacy notice allows disclosure when courts or other competent authorities legally require it. It supplies no corresponding promise to notify the affected customer before complying, contest an overbroad request or provide a recurring transparency report. General notices about privacy policy changes address a different event. The standard service terms also permit freezing transactions for regulatory obligations without prior intimation, so that provision does not supply an advance warning commitment for compelled access either.
The consolidated agreement promises advance notice of compelled confidential information disclosure when reasonably practicable and legally allowed. The DPA further requires notice within 72 hours of awareness of government access demands or relevant regulatory proceedings, with consultation and efforts to allow a protective response before disclosure. Legal prohibitions and compulsion remain exceptions. These are customer notification commitments rather than a published transparency report, and they do not guarantee that the customer can prevent a lawful disclosure.
Primary Law Corpus Provenance
Where does the law in this product come from, and does the vendor have the right to use it?
The defined inputs are customer contracts and compliance rules configured by the legal team. Leegality does not identify a legal research collection, enumerate its authority sources or explain licenses for statutes, judgments or commentary used by the underlying model. Its separate guides to Indian electronic signatures are educational resources, not a declared retrieval corpus for AI Review. A clause suggestion can follow the customer's rule without establishing the provenance of any additional legal knowledge used to generate it.
VerifAI uses the customer's contracts and playbooks, supplemented by guides developed with legal professionals. Sidebar also describes monitoring official regulatory sources, and the AI terms acknowledge the use of information from the internet. These statements do not enumerate a licensed legal authority collection, identify the authors of every guide or explain rights for all external material used in responses. A reference back to a supplied agreement establishes its local source without establishing the provenance of the model's wider legal knowledge.
Good Law Verification
Does the product tell you when the authority it just cited has been overruled?
A contract can be tested against a rule about governing law or another requirement, but no citator or judicial treatment service is identified. The interface's met, not met and not found labels describe compliance with the supplied checklist. They do not certify that a case remains good law or that a statutory requirement has not changed. Changes in law therefore need to be reflected in the team's rules and separately validated before a review result is treated as current legal advice.
SpotDraft's home, pricing and security pages describe no citator, treatment signal or currency check, and do not say whether legal authority is reviewed for later history. The platform manages a customer's own contracts rather than retrieving case law or legislation, so a citator is not part of what it sells. Sidebar is described as helping users stay ahead of regulatory change with AI agents. That concerns the currency of regulation rather than the standing of cited authority, and no source or verification method is published for it.
Refusal and Uncertainty Behavior
What does the product do when the answer is not in the corpus?
The review example labels a missing contractual requirement as not found and lets a reviewer dismiss suggested wording. That is useful handling of absent clauses, but it is not a model refusal policy. There is no described behavior for conflicting instructions, inadequate legal support, an unsupported jurisdiction or uncertain interpretation. Nor is a confidence measure accompanied by an escalation procedure for those circumstances. Human approval provides a workflow checkpoint while the model's response to insufficient knowledge remains unspecified.
VerifAI explains whether contract provisions meet a selected guideline and presents proposed edits for review. Its terms warn that generated content can be unreliable and require independent verification. Neither statement describes a model refusing a question when authority is missing, flagging a specific uncertainty level or stopping an agent because the playbook does not cover a request. Contractual restrictions on high risk use are customer obligations, not demonstrated refusal behavior implemented by the system.
Fabricated Citation Record
Does a public court record exist addressing fabricated or hallucinated legal citations in output from this product?
The October 16, 2026 review of the Charlotin database found no entry naming Leegality in either the AI tool field or the remaining case information. The product's main legal output is contractual language and rule analysis, rather than a court submission built from cited authorities. That use profile may affect how an incident would appear in a litigation database. Absence of a named case is not a measured accuracy result and does not establish that fabricated legal assertions cannot occur.
The Charlotin litigation database contained no entry naming SpotDraft, VerifAI or Draftspotting in the AI tool field or other case information when reviewed on October 16, 2026. Contract workflow software is less likely to be identified in a filed legal brief than a research assistant, although Sidebar now extends the product's legal assistance. This negative result does not measure hallucination frequency or establish that every generated reference is accurate; it records the absence of a named case in that database.
Bar Guidance Alignment
Has the vendor engaged in public with the ethics opinions its buyers are bound by?
The company explains Indian signature and documentation requirements and makes its software role distinct from a law firm. It does not connect AI Review's controls to a named bar opinion or a jurisdiction specific framework for lawyers' competence, confidentiality and supervision obligations. Banking and data protection compliance materials address separate regulatory duties. Configurable review approvals can assist a legal team's process, but the vendor does not map those features to professional conduct guidance for use of generative AI.
SpotDraft's home page names two ethics guidance documents from two jurisdictions. One is the California State Bar's Practical Guidance for the Use of Generative Artificial Intelligence in the Practice of Law, dated November 2023. The other is the American Bar Association's Formal Opinion 512 on generative AI, dated July 2024. Both are given with issuer and date. SpotDraft says its AI is designed around both, for responsible and secure contracting. The statement does not map which duty each product control meets, and no other jurisdiction's guidance is addressed.
Billing and Fee Posture
Does the vendor address what happens to the bill when the work takes an hour instead of six?
The published commercial relationship is a business purchasing document execution and contract operations services. Pricing is based on signatures, stamp papers and quoted business features, rather than recording a lawyer's time or allocating an AI expense to a legal client. Leegality identifies business, product and operations teams as its usual buyers alongside legal teams. Its claimed paperwork savings concern corporate operating costs. No client billing ledger, disclosure template or law firm fee allocation workflow is described.
SpotDraft sells contract operations to corporate departments, and the consolidated service terms restrict use to the customer's own business rather than delivery for third party benefit. Its cost and time savings claims concern that internal workflow. User or contract volume charges are software procurement terms, not a system for recording a lawyer's billable contribution to a client matter. No legal client expense allocation, fee disclosure template or professional billing guidance accompanies the AI features.
Outside Counsel Guideline Readiness
Can a firm get this vendor through a client’s AI clause without a bespoke negotiation?
The privacy notice names Amazon Internet Services, signature providers including CDSL and Protean, SHCIL, NeSL and WhatsApp Business, with their processing purposes. Some other categories remain generic, including SMS, payment and email providers. That supplies part of a procurement disclosure package but omits the model provider for AI clause review. Leegality also offers an information security questionnaire and audit rights through its enterprise arrangements. No prepared outside counsel AI disclosure package or complete legal client approval form is published.
The published register identifies hosting, execution, support and AI suppliers, including Google Cloud, AWS, Azure, OpenAI, Anthropic and Pinecone. Sidebar has additional named providers. The DPA requires thirty days of advance notice for changes and allows objections on data protection grounds. Together with contractual training restrictions, these materials can inform an organization's AI procurement approval. They do not supply a ready made outside counsel consent package, and the register's company addresses should not be mistaken for where each supplier processes contract data.
Court Disclosure Support
If a judge’s standing order requires an AI disclosure, can the product produce one?
Executed agreements receive a secure audit trail recording the signing journey, and the contract interface preserves reviewers, remarks and recent activity. Those records may help explain who approved or signed an agreement. They do not amount to an export showing which model generated a clause, the prompt used or how counsel verified the output. Leegality promotes the signing record for court use, but no separate AI use declaration or complete model provenance export is described for a filing.
Contract audit logs retain creation, signing and version changes. The consolidated agreement also makes Sidebar chats, uploaded knowledge files and generated tables retrievable for thirty days after termination, subject to the applicable order. Its AI terms prohibit presenting generated material as human authored. Those provisions can preserve part of a usage history, but no court specific export joins model identity, prompts, source verification and the lawyer's approval into a complete filing declaration. The available record therefore remains partial.
The questions both sides leave open

In summary
Leegality
Leegality reviews clauses against customer requirements, proposes alternatives and routes agreements to assigned reviewers before execution. Its Indian signing and stamping services sit beside a repository and AI extracted obligations. Contract storage and AI processing are stated to remain in India.
SpotDraft
SpotDraft combines CLM workflows with VerifAI playbooks, Word redlines and source references. Shared guides support initial business review, while Intake and Sidebar address additional legal tasks. Its consolidated AI agreement imposes verification duties and prohibits training on customer data.
Questions buyers ask
Can both products provide Indian stamp procurement?
Yes. Leegality publishes its stamping transaction charges, while SpotDraft's India agreement contains a separate procurement schedule and deposit. The applicable state, volume and execution process still determine the required configuration. From the AI Legal Index, based on each vendor's own published materials as of October 16, 2026. No vendor pays for placement.
Does SpotDraft's training prohibition mean nothing is retained?
No. Its AI terms permit usage analytics and storage of generated material for debugging reported issues. Customer directed deletion and the DPA's personal data timelines are separate from the restriction on model training. From the AI Legal Index, based on each vendor's own published materials as of October 16, 2026. No vendor pays for placement.
What is the Leegality human review mechanism?
For the configured Leegality contract approval workflow, AI Legal Index identifies a reviewer who can approve or reject before signing, alongside clause replacement and dismissal actions. These controls require an appropriate workflow configuration.
Are all Sidebar uses covered by ordinary CLM terms?
The consolidated agreement includes Sidebar but adds restrictions, including sensitive personal and financial information, and excludes it from the uptime undertaking. Older agreement versions have different scope, so the signed order and incorporated terms matter. From the AI Legal Index, based on each vendor's own published materials as of October 16, 2026. No vendor pays for placement.
